Terms of Service

These Terms of Service ("Terms") govern your access to and use of Audexon ("the Service"). They should be read together with our Privacy Policy.
1. Acceptance of Terms
By accessing or using Audexon, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Audexon is a cloud-based audit workpaper and workflow platform designed for CPA and audit firms. The Service provides tools for managing audit engagements, trial balances, procedures, findings, review workflows, and document references.
3. Accounts
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- You are responsible for all activity that occurs under your account
- You must be at least 18 years old to use the Service
4. Fees & Payment
- Paid plans are billed as a monthly subscription in US dollars (USD), unless otherwise agreed in writing.
- Subscriptions renew automatically each month until cancelled. You may cancel at any time, effective at the end of the current billing period.
- Fees are non-refundable except where required by applicable law.
- Where a free trial is offered, it runs for the stated period. We do not charge a payment method during the trial; continued use after the trial requires a paid subscription.
- We may change fees on at least 30 days' notice. A price change does not affect the period you have already paid for.
5. Your Data
- You retain ownership of all data you enter into Audexon
- We do not claim any intellectual property rights over your content
- You grant us a limited license to process your data solely for providing the Service
- You are responsible for the accuracy and legality of your data
- We may use anonymized, aggregated usage data to operate and improve the Service; such data does not identify you or your clients
6. How Your Files Are Stored
For audit evidence and working-paper documents, Audexon stores links to files you host in your own cloud storage (Google Drive, OneDrive, SharePoint) — those documents remain in your control, and you are responsible for maintaining access to and backups of them. Financial statements you upload directly to Audexon are stored on our managed infrastructure with encryption and per-organization isolation, and are integrity-protected with a SHA-256 hash recorded at upload. You retain ownership of all files, may export them at any time, and may request their deletion.
7. Security & Confidentiality
We treat your engagement data as confidential and apply industry-standard measures to protect it, including encryption in transit (HTTPS/TLS), encryption at rest for our primary database, row-level isolation of each organization's data, and role-based access controls. We maintain an activity log of key actions taken on engagement data, and access by our personnel is limited on a least-privilege basis. No method of transmission or storage is completely secure, so we cannot guarantee absolute security. If we become aware of a breach affecting your personal data, we will notify you without undue delay.
8. Privacy & Data Protection
Our handling of personal data is described in our Privacy Policy. For the engagement data you process through Audexon, your firm acts as the data controller and Audexon acts as a data processor. For customers subject to data protection laws such as the GDPR, a Data Processing Addendum (DPA) is available on request at support@audexon.com.
9. Acceptable Use & Customer Responsibilities
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service
- Share your access code with unauthorized parties
You are also responsible for:
- Obtaining any permissions required from your clients to store their data in your own cloud storage and in the Service
- Complying with your own professional, regulatory, and data-protection obligations
- Not uploading data in violation of any law, regulation, or duty of confidentiality
10. Service Availability & Support
We aim to keep the Service available and reliable and may carry out planned maintenance from time to time. However, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, and we do not guarantee uninterrupted or error-free access. 11. Limitation of Liability
Audexon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
12. Professional Responsibility
Audexon is a workflow and documentation tool. It does not provide audit opinions, professional advice, or assurance services. You are solely responsible for the professional quality and compliance of your audit work.
13. Termination
We may suspend or terminate your access to the Service for violation of these Terms. You may terminate your account at any time by contacting us. For 30 days after termination you may export your data; after that period we will delete or anonymize it, except where we are required to retain it by law.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance.
15. Governing Law
These Terms are governed by the laws applicable in the Abu Dhabi Global Market (ADGM), United Arab Emirates. The parties submit to the exclusive jurisdiction of the courts of the ADGM, and will first attempt to resolve any dispute through good-faith negotiation.
